Remote Assistance Permission and Release Agreement

The undersigned (hereinafter referred to as "you" or "your") has requested that Sonic.net, Inc., a California Licensed Corporation (hereinafter referred to as "Sonic.net") remotely connect to your computer systems via the internet to assist with resolving a computer system problem. Due to the urgency of your request, Sonic.net has agreed to attempt to assist you by allowing a member of the Sonic.net Support team to view your desktop and share control of your mouse and keyboard, subject to your execution of this Remote Assistance Permission and Release Agreement (this "Agreement").

You expressly acknowledge that you have been advised that Sonic.net's normal support procedure is for all configuration changes to computer, internet and systems equipment to be documented and performed by you or your representative under telephone guidance by a Sonic.net Support Engineer. You further expressly acknowledge that there is a possibility that Sonic.net's efforts to solve your problems by remotely connecting to your computer systems may result in damage to your computer hardware, software and/or any related systems, including, without limitation, loss of data. Notwithstanding the possibility of such damage, you hereby expressly grant Sonic.net permission to remotely connect to your computer systems and to record the screen activity during the Remote Assistance session. You and Sonic.net have the right and ability to terminate the Remote Assistance Session at any time, for any reason.

In consideration of Sonic.net deviating from its normal procedures and performing the requested services, you hereby waive and release any and all claims you may have or will ever have against Sonic.net and its employees, agents, affiliates, officers, and directors relating to or arising out of any damage or loss of any nature whatsoever that results, directly or indirectly, from Sonic.net remotely connecting to your computer systems as requested by you in this Agreement, as well as the recording of the sessions, including, without limitation, loss of data and damage to your computer hardware, software and/or any related systems.

You agree to defend, indemnify, save and hold harmless, Sonic.net and its officers, directors, agents, affiliates, and employees from any and all third party claims, demands, liabilities, costs or expenses, including reasonable attorney fees arising from or in any way relating to or arising out of any damage or loss of any nature whatsoever that results, directly or indirectly, from Sonic.net remotely connecting to your computer systems and/or recording the sessions as requested by you herein.

This Agreement will be governed by the laws of the State of California without reference to principles of conflict of laws. Any questions concerning this license should be referred to Sonic.net, Inc. 2260 Apollo Way, Santa Rosa CA 95407.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND BY CLICKING THE "ACCEPT" BUTTON, YOU ACCEPT ITS TERMS AND CONDITIONS. THIS AGREEMENT MAY ONLY BE AMENDED BY A WRITTEN AGREEMENT SIGNED BY AUTHORIZED REPRESENTATIVES OF BOTH PARTIES.

PRESS THE ["REJECT"] BUTTON TO REJECT THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU REJECT THIS AGREEMENT, YOU WILL BE SENT BACK TO THE SONIC.NET SUPPORT HOME PAGE.
